Irish Limited with UK holding 2026

An Irish Limited with a UK holding.

For structures in which trading and shareholding are deliberately kept apart. We form both companies, align them with each other and take on the ongoing support. €7,500.

How the structure works

A lit restaurant with large windows in a terrace of houses in the evening.

The Irish Limited does the business and pays tax on its trading profits at 12.5 per cent in Ireland; the UK holding above it holds its shares and receives the distributions. As a non-dom in Ireland, distributions from the UK holding are foreign income for you, and so the remittance basis applies to them.

This is deliberately where the description ends. What the structure looks like in your case, which amounts flow where in which order and what that means for your tax registration belongs in the conversation with your adviser and in your documents, rather than on a website.

What the price includes

Included in the fee of €7,500

  • Tax advice during the formation phase: in depth, in English and before the first form
  • The formation itself: documents from us, filing with the Companies Registration Office in Dublin
  • The official fees: included in the fee
  • Application for the EU VAT number: so that you can invoice across the whole Union
  • Registered office and business address in Dublin: our own premises, on a long-term lease, a real address where Revenue can call in
  • Provision of the company secretary: included in all three packages; Irish law requires this second officer, and we fill the role
  • Mail forwarding: incoming post by email, important originals weekly by post
  • Registers and annual return: constitution, register of members, annual return, appointment of directors, deadline control
  • Ongoing support in English: one fixed contact for everything to do with the Irish authorities
  • Ongoing tax support: responsible from day one; what arises along the way is listed further down
  • Formation of the UK holding company: with a registered office in London and registration at Companies House
  • The shareholdings between the two companies: set up and documented
  • Registration of the UK company with HMRC: with the filings that fall due there each year
  • Both companies from one source: one contact, in English, for Dublin and London
  • Alignment with your non-dom position: the structure and your tax registration in Ireland fit together

Who it is made for

This package is built for a particular situation: you are moving to Ireland as a non-dom, you are bringing a business that keeps earning money, and you want a structure from the start that fits your tax position rather than working against it. If you need a single trading company, the Irish Limited for €4,420 serves you better; if you only want to hold shareholdings, the Irish holding for €3,470.

The price of €7,500 covers both companies, from formation through the shareholdings between them to ongoing support in the first year. For this you have one contact, in English, who knows Dublin and London and keeps both sides in step.

The director on the ground

The point that decides the tax rate

By law, one director resident in the EEA is enough. For the 12.5 per cent rate, though, the company must actually be run from Ireland, and that means: by someone who lives in Ireland and makes the decisions there.

The EEA director satisfies company law. In Revenue’s practice something else counts: who actually runs the company, and from where. If it is run from abroad, Revenue treats it as managed from outside, and its profits then face the rate of 25 per cent instead of the 12.5 per cent Ireland provides for active business. The background is on the page on the Irish company.

The good news: the person who runs your company from Ireland is you. You move to Ireland with your family, you live there, and you run your company from your desk in Wexford, Waterford or Cork. That answers the question before any authority asks it, and in the only way that holds for years.

This is exactly what Saol Nua Plan is for: we bring your family and your company to Ireland in the same move, on the same timetable and in the same hand. Your residence, your tax registration and your company’s place of management are then in one place, and that is the state a tax audit wants to see.

How it runs

It starts with a conversation about your situation, your timetable and the order in which move, registration and formation mesh together. It is part of the fee and takes place before the first form. Then we form the Irish Limited through our office in Dublin: documents from us, checking and signing by you, filing with the Companies Registration Office, registration within five working days under the CRO’s fast-track target.

In parallel the UK holding is formed with a registered office in London, registered at Companies House and registered with HMRC. Finally the shareholdings between the two companies are set and documented. From then on, support for both runs from one source: deadlines, filings, bookkeeping, accounts and returns in Ireland and the United Kingdom, talked through in English.

We name the service package from the second year in our offer; it depends on how much activity there is in both companies.
